  •  Acquisitions / Sales
    • We negotiate each issue to maximize potential and minimize risk; draft complex documents to accurately memorialize the transaction, and handle the flow of documentation typical in modern commercial real estate matters.  We represent companies of all sizes in a range of transactions, including leasing, sales acquisition, borrowing and lending, easements, covenants, and zoning matters.


  • Retail Leases
    • Our firm understands the issues involving tenant improvements, CAM charges, co-tenancy assignment, percentage rent and exclusives.  Our firm can also assist with landlord –tenant disputes, property management, and the review of taxes and expenses related to leasing commercial space.


  • Lending 
    • We provide lenders, builders, small businesses, corporations, retail chains, franchises, restaurants, startups, developers, banks, and property owners with legal counsel related to financing matters that accompany the acquisition / sale of commercial real estate.  


  • Title and Closings 
    • We review and analyze title commitments, surveys, and supporting documents; draft documents necessary to clear title; and handle commercial real estate closing involving Texas and multi-state transactions.


  • Recent Transactions:
    • Counsel to Texas-based developer of multi-family residential properties in connection with the acquisition of land and the development of multiple apartment communities, including negotiation and preparation of purchase agreements, and preparation of easements and access rights.
    • Counsel to local real estate company in connection with the acquisition of a franchisee owned full service  hotel (BPO 2.1M), including preparation of private placement memorandum, operating agreement, debt financing, and assisting with transfer of franchise license.
    • Local counsel to national real estate company in connection with a 15M redevelopment of a suburban retail center including negotiation and preparation of municipal garage lease, land acquisition, creation of required easements and other rights.
    • Local counsel to low-income housing developer in connection with the acquisition and financing of several low-income housing tax-credit projects in Houston, Texas area, including preparation of purchase documentation, assisting in HUD 221(D) (4) financing, and low-income housing tax-credit syndication.
